The Removal of a Partner from a Limited Liability Partnership (LLP) is a high-stakes legal event governed by Section 25 of the LLP Act, 2008, and the specific "Expulsion" clauses of the LLP Agreement. Unlike a voluntary resignation, removal is a forced exit that must be carried out in strict accordance with the contract. If the LLP Agreement does not explicitly grant the power to remove a partner, the remaining partners cannot expel a partner unless the agreement is amended with unanimous consent.

In the 2026 MCA V3 regulatory ecosystem, the removal process requires meticulous documentation to prevent "Wrongful Expulsion" claims. The trigger for this event is usually a Board Resolution or a Partner Meeting where a decision is made based on grounds like misconduct, breach of trust, or permanent incapacity.

For the FY 2025–26 cycle, the MCA requires that any change in the partnership structure be updated via e-Form 4. Crucially, the Audit Trail (Edit Log) standards for 2026 mandate that the internal digital records must log the date of the notice sent to the partner and the subsequent resolution. The countdown for filing the change is 30 days from the date of removal. Since LLP penalties are ₹100 per day without a cap, timely filing is essential to avoid crippling administrative costs.
