PARTNERSHIP AGREEMENT

This Partnership Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

The following persons, all being Indian citizens / entities competent to contract, hereby agree to constitute a partnership under the Indian Partnership Act, 1932:

1. FORMATION AND NAME

1.1. The Partners hereby form a partnership firm under the name {{f6_name_of_partnership_firm}} (“Firm”).

1.2. The Firm shall be governed strictly by this Agreement and the Indian Partnership Act, 1932.

2. PLACE OF BUSINESS

2.1. The principal place of business of the Firm shall be at {{f7_principal_place_of_business}}.

2.2. No branch or additional place of business shall be opened without unanimous written consent of all Partners.

3. BUSINESS OF THE FIRM

3.1. The Firm shall carry on the business of {{f8_precise_description_of_business}} and no other activity.

3.2. Any change in the nature of business shall require unanimous written consent.

4. DURATION

4.1. The partnership shall commence on the Effective Date and shall continue at will, unless dissolved in accordance with this Agreement.

5. CAPITAL CONTRIBUTION

5.1. The capital of the Firm shall be contributed as follows:

5.2. No Partner shall withdraw capital without unanimous written consent.

6. PROFIT AND LOSS SHARING

6.1. Profits and losses of the Firm shall be shared strictly in the following ratio:

6.2. The same ratio shall apply to losses, liabilities, and indemnities.

7. MANAGEMENT AND AUTHORITY

7.1. The day-to-day management shall be jointly carried out by all Partners.

7.2. No Partner shall, without prior written consent of the other Partner(s):
(a) borrow funds or give guarantees;
(b) incur expenditure exceeding INR {{f13_limit}} per transaction;
(c) admit any new partner;
(d) dispose of Firm assets;
(e) enter into contracts outside ordinary course of business.

8. DUTIES OF PARTNERS

8.1. Each Partner shall:
(a) act honestly and in good faith;
(b) devote full working time to the Firm;
(c) not engage in any competing business during the subsistence of the Firm;
(d) indemnify the Firm against losses caused by fraud or wilful misconduct.

9. BANKING AND ACCOUNTS

9.1. The Firm’s bank account shall be operated jointly by {{f14_signing_partners}}.

9.2. Proper books of accounts shall be maintained and audited annually.

10. REMUNERATION AND INTEREST

10.1. Partners shall not be entitled to remuneration unless expressly stated below:

10.2. No interest shall be payable on capital unless mandated by law.

11. CONFIDENTIALITY

11.1. All business information of the Firm shall be treated as confidential.

11.2. Confidentiality obligations survive dissolution for 5 years.

12. ADMISSION OF NEW PARTNER

12.1. No person shall be admitted as a Partner without unanimous written consent and execution of a supplemental agreement.

13. RETIREMENT, DEATH, OR INSOLVENCY

13.1. A Partner may retire by giving {{f16_notice_period}} written notice.

13.2. Death or insolvency of a Partner shall result in dissolution unless the remaining Partner(s) elect to continue the Firm.

13.3. Settlement with outgoing Partner or legal heirs shall be based on audited accounts as of the exit date.

14. NON-COMPETE

14.1. During the partnership and for 12 months after exit, no Partner shall engage in a competing business within {{f17_territory}}.

15. DISSOLUTION

15.1. The Firm may be dissolved by:
(a) mutual written consent;
(b) insolvency of all Partners;
(c) operation of law.

15.2. Upon dissolution, assets shall be realised and liabilities discharged before distribution.

16. INDEMNITY

16.1. Each Partner shall indemnify the Firm and other Partners against losses arising from breach of this Agreement or wilful misconduct.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1. This Agreement shall be governed by the laws of India.

17.2. All disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

18. ENTIRE AGREEMENT

18.1. This Agreement constitutes the entire understanding between the Partners and supersedes all prior arrangements.

19. AMENDMENT

19.1. Any amendment shall be valid only if made in writing and signed by all Partners.

INFLUENCER AGREEMENT

This Influencer Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_brand_company}}, a company incorporated under the Companies Act, 2013, having its registered office at {{f3_registered_office_address}} (“Brand”);

{{f4_name_of_influencer}}, an individual residing at {{f5_address_of_influencer}}, operating social media accounts listed in Schedule A (“Influencer”).

The Brand and the Influencer are hereinafter collectively referred to as the “Parties”.

1. APPOINTMENT AND SCOPE

1.1. The Brand hereby appoints the Influencer on a non-exclusive basis to create and publish promotional content strictly in accordance with this Agreement.

1.2. The Influencer accepts such appointment and agrees to perform the obligations personally.

2. CAMPAIGN DETAILS (MANDATORY)

2.1. Platform(s): {{f6_platforms}}

2.3. Number of deliverables: {{f8_number}}
2.4. Posting schedule: {{f9_exact_dates_timeframe}}

2.6. No content outside the above scope shall be deemed deliverable.

3. CONTENT STANDARDS AND APPROVAL

3.1. All content shall:
(a) strictly align with Brand guidelines provided in writing;
(b) not be misleading, defamatory, obscene, or unlawful;
(c) comply with the Consumer Protection Act, 2019, ASCI Guidelines, and applicable advertising laws.

3.2. Prior written approval of the Brand is mandatory before posting any content.

3.3. The Brand may require up to two (2) revisions, without additional cost.

4. DISCLOSURE AND COMPLIANCE

4.1. The Influencer shall mandatorily disclose the promotional nature of the content using clear identifiers such as #ad, #paidpromotion, or #collaboration.

4.2. Failure to comply with disclosure obligations shall constitute material breach.

5. EXCLUSIVITY AND NON-COMPETE

5.1. During the campaign period and for {{f11_exclusivity_period}} thereafter, the Influencer shall not promote any competing brand in the category of {{f12_product_category}}.

5.2. Breach of exclusivity shall entitle the Brand to immediate termination and refund.

6. FEES AND PAYMENT

6.1. Total consideration payable shall be INR {{f13_amount}} (inclusive/exclusive of taxes).

6.2. Payment shall be made within {{f14_number}} days of:
(a) completion of deliverables; and
(b) submission of valid invoice.

6.3. No payment shall be due for non-compliant or unapproved content.

7. INTELLECTUAL PROPERTY

7.1. All content created under this Agreement shall be work-made-for-hire.

7.2. The Influencer irrevocably assigns all intellectual property rights in such content to the Brand.

7.3. The Brand may use, modify, repost, boost, and commercially exploit the content worldwide, in perpetuity.

8. MORALITY CLAUSE

8.1. The Influencer shall not engage in any conduct that brings the Brand into public disrepute.

8.2. Any controversy, criminal allegation, or public backlash attributable to the Influencer shall entitle the Brand to immediate termination.

9. CONFIDENTIALITY

9.1. All campaign details, compensation, and communications are confidential.

9.2. Confidentiality obligations survive termination for 5 years.

10. REPRESENTATIONS AND WARRANTIES

The Influencer represents that:
(a) all content shall be original and non-infringing;
(b) no bots, fake engagement, or artificial inflation shall be used;
(c) follower statistics provided are accurate;
(d) performance of this Agreement violates no other contract.

11. INDEMNITY

11.1. The Influencer shall indemnify the Brand against all claims, penalties, losses, and damages arising from:
(a) breach of this Agreement;
(b) regulatory non-compliance;
(c) IP infringement; or
(d) false or misleading endorsements.

12. TERMINATION

12.1. The Brand may terminate immediately upon breach.

12.2. Upon termination:
(a) all unpaid amounts shall stand forfeited;
(b) Influencer shall remove content if directed.

13. RELATIONSHIP

13.1. Nothing herein creates an employment, agency, or partnership relationship.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1. This Agreement shall be governed by the laws of India.

14.2. All disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

15. ENTIRE AGREEMENT

15.1. This Agreement constitutes the entire understanding and supersedes all prior discussions.
