MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (“MoU”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

1. PURPOSE AND BACKGROUND

1.2. This MoU sets out the agreed principles, responsibilities, and intent of the Parties pending execution of definitive agreements.

2. SCOPE OF UNDERSTANDING

2.2. No Party shall be obliged to proceed with the Proposed Arrangement unless and until definitive agreements are executed.

3. ROLES AND RESPONSIBILITIES

3.3. Neither Party shall incur any liability or obligation on behalf of the other.

6. EXCLUSIVITY (IF APPLICABLE)

7. INTELLECTUAL PROPERTY

7.1. All pre-existing intellectual property shall remain the exclusive property of the respective owning Party.

7.2. No license or transfer of intellectual property is granted under this MoU.

8. LEGAL NATURE

8.1. Except for Clauses 5 (Confidentiality), 6 (Exclusivity, if applicable), 9 (Governing Law), and 10 (Dispute Resolution), this MoU is non-binding and does not create any legally enforceable obligation.

8.2. Nothing herein shall be construed as creating a partnership, agency, or joint venture.

9. TERM AND TERMINATION

9.1. This MoU shall remain valid for {{f14_term}} from the Effective Date.

9.2. Either Party may terminate this MoU without cause upon {{f15_notice_period}} written notice.

10. GOVERNING LAW AND DISPUTE RESOLUTION (BINDING)

10.1. This MoU shall be governed by and construed in accordance with the laws of India.

10.2. Any dispute arising out of or in connection with this MoU shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

11. ENTIRE UNDERSTANDING

12.1. Any amendment to this MoU shall be valid only if made in writing and signed by both Parties.

EMPLOYMENT AGREEMENT

This Employment Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

The Employer and the Employee are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. APPOINTMENT

1.1. The Employer hereby appoints the Employee as {{f6_designation}}, and the Employee accepts such appointment, subject to the terms of this Agreement.

1.2. This Agreement constitutes a contract of service and not a contract for service.

2. DATE OF COMMENCEMENT AND TERM

2.1. The employment shall commence on {{f7_date_of_joining}}.

3. PLACE OF WORK

4. DUTIES AND RESPONSIBILITIES

4.1. The Employee shall:
(a) perform duties commensurate with the designation and instructions of the Employer;
(b) devote full working time and attention exclusively to the Employer’s business;
(c) comply with all policies, codes of conduct, and lawful directions.

4.2. The Employee shall not engage in any other employment or business during employment without prior written consent.

5. WORKING HOURS

5.1. Normal working hours shall be {{f10_working_hours}}, subject to business exigencies.

5.2. The Employee may be required to work additional hours without separate overtime entitlement, unless mandated by law.

6. REMUNERATION AND BENEFITS

6.1. The Employee shall be paid a gross remuneration of INR {{f11_amount}} per [MONTH / ANNUM; field type: TEXT], as per the structure set out in Schedule A.

6.2. Statutory deductions including provident fund, professional tax, and income tax shall apply.

6.3. Benefits, if any, shall be governed strictly by Employer policies.

7. LEAVE AND HOLIDAYS

7.1. The Employee shall be entitled to leave and holidays strictly in accordance with applicable law and Employer policy in force from time to time.

7.2. No leave shall be carried forward or encashed except as required by law or policy.

8. CONFIDENTIALITY

8.1. All business, technical, financial, customer, and employee-related information constitutes Confidential Information.

8.2. The Employee shall not disclose or misuse Confidential Information during or after employment.

8.3. Confidentiality obligations shall survive termination permanently, to the extent permitted by law.

9. INTELLECTUAL PROPERTY

9.1. All intellectual property created, developed, or contributed by the Employee during the course of employment shall vest exclusively in the Employer.

9.2. The Employee hereby irrevocably assigns all such intellectual property rights to the Employer without additional consideration.

10. DATA PROTECTION

10.1. The Employee shall comply with all data protection and information security policies of the Employer.

10.2. Any unauthorised access, use, or disclosure of data shall constitute gross misconduct.

11. NON-SOLICIT AND NON-COMPETE

11.1. During employment and for 12 months thereafter, the Employee shall not solicit the Employer’s employees, customers, or vendors.

11.2. Post-termination non-compete obligations shall apply only to the extent enforceable under Indian law.

12. PERFORMANCE AND DISCIPLINE

12.1. Employment is subject to satisfactory performance and conduct.

12.2. The Employer may take disciplinary action, including suspension or termination, in accordance with law and internal policy.

13. TERMINATION

13.1. Either Party may terminate this Agreement without cause by giving {{f12_notice_period}} written notice or salary in lieu thereof.

13.2. The Employer may terminate employment without notice in case of:
(a) misconduct;
(b) breach of confidentiality or IP obligations;
(c) fraud or dishonesty;
(d) wilful insubordination.

14. CONSEQUENCES OF TERMINATION

14.1. Upon termination, the Employee shall:
(a) immediately cease representing the Employer;
(b) return all Employer property;
(c) hand over all work, data, and documents.

14.2. Final settlement shall be made in accordance with applicable law.

15. REPRESENTATIONS

15.1. The Employee represents that:
(a) no conflicting employment or obligation exists;
(b) information provided is true and accurate;
(c) joining does not violate any prior agreement.

16. INDEMNITY

16.1. The Employee shall indemnify the Employer against losses arising from wilful misconduct, fraud, or breach of this Agreement.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1. This Agreement shall be governed by the laws of India.

17.2. Any dispute shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

18. ENTIRE AGREEMENT

RECRUITMENT AGREEMENT

This Recruitment Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_employer_client}}, a company incorporated under the Companies Act, 2013, having its registered office at {{f3_registered_office_address}} (“Client”);

{{f4_name_of_recruitment_agency_consultant}}, a [company/LLP/partnership/individual; field type: TEXT], having its principal place of business at {{f5_address_of_recruitment_agency}} (“Recruiter”).

The Client and the Recruiter are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. APPOINTMENT AND SCOPE

1.1. The Client appoints the Recruiter on a non-exclusive basis to identify, screen, and recommend candidates for employment strictly in accordance with this Agreement.

1.2. The Recruiter shall provide recruitment services only for the following role(s):

1.3. The Recruiter shall have no authority to make employment offers or commitments on behalf of the Client.

2. RECRUITMENT PROCESS

2.1. The Recruiter shall:
(a) source candidates through lawful means;
(b) conduct preliminary screening, including qualification and experience checks;
(c) submit candidate profiles strictly in the format prescribed by the Client;
(d) disclose complete and accurate candidate information.

2.2. A candidate shall be deemed “Introduced” only upon receipt of the candidate’s resume/profile by the Client.

3. FEES AND PAYMENT

3.1. Recruitment fee shall be {{f7_of_annual_ctc_fixed_fee}} of the candidate’s annual gross cost-to-company (“CTC”).

3.2. The fee shall become payable only upon:
(a) issuance of offer letter by the Client; and
(b) the candidate’s acceptance and joining.

3.3. Payment shall be made within {{f8_number}} days from the candidate’s date of joining, against a valid tax invoice.

3.4. No fee shall be payable for candidates not hired by the Client.

4. REPLACEMENT GUARANTEE

4.1. If a hired candidate resigns or is terminated (other than due to redundancy or restructuring) within {{f9_guarantee_period}} from the date of joining, the Recruiter shall provide one (1) free replacement for the same Position.

4.2. No refund shall be payable. Replacement is the sole remedy.

4.3. The guarantee shall not apply if separation is due to:
(a) change in role, compensation, or reporting;
(b) hostile work environment;
(c) delay in onboarding beyond {{f10_number}} days from offer acceptance.

5. NON-CIRCUMVENTION

5.1. The Client shall not directly or indirectly engage any candidate introduced by the Recruiter outside this Agreement for 12 months from introduction, without paying the applicable fee.

6. CONFIDENTIALITY

6.1. All business information, candidate data, compensation details, and communications constitute Confidential Information.

6.2. The Recruiter shall comply with applicable data protection laws and shall not share candidate information with third parties.

6.3. Confidentiality obligations shall survive termination for 5 (five) years.

7. DATA PROTECTION

7.1. The Recruiter represents that it has obtained lawful consent from candidates for sharing their data with the Client.

7.2. The Recruiter shall indemnify the Client for any breach of data protection obligations.

8. REPRESENTATIONS AND WARRANTIES

The Recruiter represents that:
(a) all candidate information is accurate to its knowledge;
(b) no inducements or misrepresentations have been made;
(c) it is duly authorised to provide recruitment services;
(d) it has not violated any labour or employment law.

9. INDEMNITY

9.1. The Recruiter shall indemnify and hold harmless the Client against all losses arising from:
(a) misrepresentation of candidate credentials;
(b) breach of confidentiality or data protection;
(c) violation of law.

10. LIMITATION OF LIABILITY

10.1. Recruiter’s aggregate liability shall not exceed the total fees actually received under this Agreement.

10.2. This limitation shall not apply to fraud or wilful misconduct.

11. TERM AND TERMINATION

11.1. This Agreement shall remain in force for {{f11_term}}.

11.2. Either Party may terminate without cause upon {{f12_notice_period}} written notice.

11.3. The Client may terminate immediately upon material breach or misconduct.

12. CONSEQUENCES OF TERMINATION

12.1. Termination shall not affect the Client’s obligation to pay fees for candidates already hired prior to termination.

12.2. Clauses relating to confidentiality, non-circumvention, indemnity, and dispute resolution shall survive termination.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1. This Agreement shall be governed by the laws of India.

13.2. Any dispute shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

NON-COMPETE AGREEMENT

This Non-Compete Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_company_employer}}, a company incorporated under the Companies Act, 2013, having its registered office at {{f3_registered_office_address}} (“Company”);

{{f4_name_of_individual}}, residing at {{f5_address_of_individual}} (“Restricted Party”).

The Company and the Restricted Party are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. BACKGROUND

1.1. The Restricted Party has been employed / engaged by the Company as {{f6_designation_role}} and has had access to confidential, proprietary, and commercially sensitive information of the Company.

1.2. The Parties acknowledge that reasonable restrictions are necessary to protect the Company’s legitimate business interests.

2. DEFINITIONS

2.1. “Competing Business” means any business that is substantially similar to or directly competitive with the business of the Company, namely {{f7_specific_business_activity}}.

2.2. “Restricted Period” means:
(a) during the continuance of employment / engagement; and
(b) for {{f8_post_termination_period}} after cessation, to the extent enforceable under Indian law.

2.3. “Restricted Territory” means {{f9_territory}}.

3. NON-COMPETE OBLIGATION

3.1. During the Restricted Period, the Restricted Party shall not, directly or indirectly:
(a) engage in, operate, manage, or be employed by a Competing Business within the Restricted Territory;
(b) provide advisory, consultancy, or technical services to a Competing Business;
(c) hold any material financial interest in a Competing Business, except as a passive investor holding less than {{f10_field}} of listed securities.

3.2. The Parties expressly agree that the restriction during the term of employment/engagement is absolute and enforceable.

3.3. Post-termination restrictions shall be interpreted and enforced only to the extent permitted under Section 27 of the Indian Contract Act, 1872, and shall operate primarily as a protection of trade secrets, confidential information, and customer connections.

4. NON-SOLICIT (SEVERABLE AND INDEPENDENT)

4.1. During the Restricted Period, the Restricted Party shall not:
(a) solicit or attempt to solicit any employee, consultant, or key managerial personnel of the Company;
(b) solicit or deal with customers, clients, or business partners of the Company with whom the Restricted Party had material interaction during the last {{f11_number}} months of association.

4.2. This Clause shall survive termination and shall be enforceable independently of the non-compete obligation.

5. CONFIDENTIALITY AND TRADE SECRETS

5.1. Nothing in this Agreement limits the Restricted Party’s perpetual obligation to maintain confidentiality of the Company’s trade secrets, proprietary information, and business know-how.

5.2. The Restricted Party acknowledges that misuse of confidential information constitutes irreparable harm.

6. CONSIDERATION

6.1. The Parties acknowledge that this Agreement is supported by valid consideration, being:

7. REASONABLENESS AND SEVERABILITY

7.1. The Restricted Party acknowledges that the restrictions under this Agreement are reasonable as to duration, scope, and territory.

7.2. If any restriction is held unenforceable, such restriction shall be:
(a) severed; or
(b) read down to the maximum extent permissible,
without affecting the validity of remaining provisions.

8. INJUNCTIVE RELIEF

8.1. The Company shall be entitled to seek injunctive and equitable relief, without the requirement of proving actual damages, in the event of breach or threatened breach.

9. INDEMNITY

9.1. The Restricted Party shall indemnify the Company against all losses arising from breach of this Agreement or misuse of confidential information.

10. TERM

10.1. This Agreement shall remain effective for the Restricted Period as defined herein.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1. This Agreement shall be governed by and construed in accordance with the laws of India.

11.2. Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

PROPERTY LEASE AGREEMENT

This Property Lease Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

1. DEMISED PREMISES

1.1. The Lessor hereby leases to the Lessee the immovable property described below (“Premises”):

2. TERM

2.2. Upon expiry of the Term, the Lessee shall vacate the Premises unless a fresh lease deed is executed and registered.

3. RENT

3.1. The Lessee shall pay to the Lessor a monthly rent of INR {{f10_rent_amount}} (“Rent”).

3.2. Rent shall be payable in advance on or before the {{f11_day_of_month}} of each English calendar month.

3.3. Rent shall be paid by {{f12_mode_of_payment_bank_transfer_cheque}} to the account designated by the Lessor.

3.4. Any delay beyond {{f13_number}} days shall attract interest at {{f14_rate}} per annum.

4. SECURITY DEPOSIT

4.1. The Lessee has paid a refundable security deposit of INR {{f15_security_deposit_amount}} (“Deposit”).

4.2. The Deposit shall be refunded within {{f16_number}} days from the date of vacant handover, after adjustment of:
(a) unpaid Rent;
(b) utility dues;
(c) damage beyond normal wear and tear.

4.3. No interest shall be payable on the Deposit.

5. MAINTENANCE, TAXES, AND UTILITIES

5.1. The Lessee shall bear and pay:
(a) electricity, water, gas, internet, and other consumption-based charges;
(b) society maintenance charges attributable to occupation.

5.2. Property tax and municipal levies shall be borne by the {{f17_lessor_lessee}}.

6. USE, RESTRICTIONS, AND COMPLIANCE

6.1. The Lessee shall:
(a) keep the Premises in good, tenantable condition;
(b) not make structural alterations or additions without prior written consent;
(c) not sublet, license, assign, or part with possession;
(d) not use the Premises for any illegal or prohibited activity.

6.2. The Lessee shall comply with all applicable laws, municipal regulations, and society bye-laws.

7. INSPECTION AND ENTRY

7.1. The Lessor or authorised representative may enter the Premises upon {{f18_number}} hours’ prior notice for inspection, repairs, or prospective leasing.

7.2. In case of emergency, entry may be made without notice.

8. REPAIRS AND DAMAGE

8.1. Structural repairs shall be the responsibility of the Lessor.

8.2. Non-structural, routine, and day-to-day repairs shall be the responsibility of the Lessee.

8.3. Damage caused due to negligence or misuse shall be rectified at the Lessee’s cost.

9. LOCK-IN (IF APPLICABLE)

9.1. The Parties agree to a lock-in period of {{f19_lock_in_period_nil}}, during which termination shall not be permitted except for material breach.

10. TERMINATION

10.1. Either Party may terminate this Agreement by giving {{f20_notice_period}} written notice.

10.2. The Lessor may terminate immediately upon:
(a) non-payment of Rent beyond {{f21_number}} days;
(b) unauthorised subletting or misuse;
(c) material breach of this Agreement.

11. VACATION AND HOLDING OVER

11.1. Upon termination or expiry, the Lessee shall hand over vacant and peaceful possession.

11.2. Any unauthorised holding over shall attract damages at INR {{f22_amount}} per day, without creating any tenancy rights.

12. FORCE MAJEURE

12.1. Neither Party shall be liable for failure due to events beyond reasonable control, excluding payment obligations.

13. INDEMNITY

13.1. The Lessee shall indemnify the Lessor against losses arising from breach, misuse, or illegal occupation of the Premises.

14. REGISTRATION AND STAMP DUTY

14.1. Stamp duty and registration charges shall be borne by {{f23_party_sharing_ratio}}.

14.2. This Agreement shall be registered, wherever required, under applicable law.

15. GOVERNING LAW AND JURISDICTION

15.1. This Agreement shall be governed by the laws of India.
