EMPLOYMENT / SERVICE CONTRACT

This Employment / Service Contract (“Agreement”) is executed on {{f1_date_of_execution}}

BETWEEN

{{f2_company_name}}, a company incorporated under the laws of India and having its registered office at {{f3_company_registered_address}} (hereinafter referred to as the “Employer” or “Company”, which expression shall, unless repugnant to the context, include its successors and permitted assigns);

AND

{{f4_employee_name}}, residing at {{f5_employee_address}} (hereinafter referred to as the “Employee”, which expression shall, unless repugnant to the context, include his/her heirs, legal representatives, and permitted assigns).

The Employer and the Employee are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. APPOINTMENT AND ENGAGEMENT

1.1 The Employer hereby appoints the Employee, and the Employee agrees to be employed, as {{f6_designation}} on the terms and conditions set out in this Agreement.

1.2 This Agreement is issued pursuant to the Offer Letter dated {{f7_offer_letter_date}}, Joining Letter dated {{f8_joining_letter_date}}, and Appointment Letter dated {{f9_appointment_letter_date}}, which shall form an integral part of this Agreement.

2. TERM AND COMMENCEMENT

2.1 This Agreement shall commence with effect from {{f10_date_of_joining}} (“Commencement Date”).

2.2 The employment shall be {{f11_employment_type_permanent_fixed_term}}.
2.3 Where fixed-term, this Agreement shall remain valid until {{f12_contract_end_date}}, unless terminated earlier in accordance with this Agreement.

3. DUTIES AND RESPONSIBILITIES

3.1 The Employee shall devote full time, attention, and skill to the business of the Employer.

3.2 The Employee shall perform all duties and responsibilities assigned from time to time and shall act honestly, diligently, and in the best interests of the Employer.

3.3 The Employee shall comply with all lawful instructions, policies, and codes of conduct of the Employer.

4. PLACE OF WORK AND TRANSFER

4.1 The Employee’s initial place of work shall be {{f13_place_of_work}}.

4.2 The Employer reserves the right to transfer the Employee to any location, branch, subsidiary, affiliate, or project of the Employer, whether within or outside India, as per business requirements.

5. WORKING HOURS

5.1 The Employee shall work during such hours as may be prescribed by the Employer in compliance with Applicable Law.

5.2 The Employee acknowledges that the nature of employment may require additional hours to meet business exigencies, without entitlement to overtime unless mandated under Applicable Law.

6. COMPENSATION AND BENEFITS

6.1 The Employee shall be paid remuneration forming part of a total cost to company (CTC) of {{f14_ctc_amount}} per {{f15_pay_frequency_month_year}}.

6.2 Salary and benefits shall be subject to deduction of tax at source and statutory contributions as per Applicable Law.

6.3 Detailed salary structure and benefits shall be governed by the Employer’s policies, as amended from time to time.

7. LEAVE AND HOLIDAYS

7.1 The Employee shall be entitled to leave and holidays strictly in accordance with the Employer’s leave policy and Applicable Law.

8. CONFIDENTIALITY

8.1 The Employee shall maintain strict confidentiality of all confidential, proprietary, technical, commercial, and business information of the Employer.

8.2 This obligation shall survive termination of this Agreement without limitation in time.

9. INTELLECTUAL PROPERTY

9.1 All inventions, developments, works, discoveries, designs, software, and intellectual property created by the Employee during the course of employment shall vest exclusively with the Employer.

9.2 The Employee shall execute all documents necessary to vest such rights in favour of the Employer.

10. NON-SOLICITATION AND CONFLICT OF INTEREST

10.1 During employment and for {{f16_non_solicitation_period}} thereafter, the Employee shall not solicit or attempt to solicit the Employer’s clients, customers, or employees.

10.2 The Employee shall not engage in any activity that creates a conflict of interest with the Employer’s business.

11. TERMINATION

11.1 Either Party may terminate this Agreement by giving {{f17_notice_period}} written notice or salary in lieu thereof.

11.2 The Employer may terminate this Agreement without notice in cases of misconduct, fraud, breach of trust, or material breach of this Agreement.

12. INDEMNITY

The Employee shall indemnify and hold harmless the Employer from any loss, damage, or liability arising from wilful misconduct, negligence, or breach of obligations under this Agreement.

13. FORCE MAJEURE

Neither Party shall be liable for failure or delay in performance due to events beyond reasonable control, including acts of God, governmental actions, or natural disasters.

14. GOVERNING LAW AND JURISDICTION

14.1 This Agreement shall be governed by and construed in accordance with the laws of India.

14.2 Subject to Clause 15, the courts at {{f18_city}}, India, shall have exclusive jurisdiction.

15. ARBITRATION

15.1 Any dispute arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

15.2 The seat and venue of arbitration shall be {{f19_city}}, India.
15.3 The arbitration proceedings shall be conducted in the English language by a sole arbitrator appointed in accordance with the said Act.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. ENTIRE AGREEMENT AND AMENDMENT

17.1 This Agreement constitutes the entire agreement between the Parties with respect to employment/service.

17.2 Any amendment shall be valid only if made in writing and signed by both Parties.

18. EXECUTION

IN WITNESS WHEREOF, the Parties have executed this Agreement on the date first written above.
