1. APPOINTMENT

We are pleased to formally appoint you as {{f4_designation}} with {{f5_company_name}}, a company incorporated under the laws of India and having its registered office at {{f6_company_registered_address}} (“Company”), on the terms and conditions set out in this Appointment Letter (“Letter”).

This appointment is made pursuant to your acceptance of the Offer Letter dated {{f7_offer_letter_date}} and your Joining Letter dated {{f8_joining_letter_date}}.

2. DATE OF COMMENCEMENT

2.1 Your employment with the Company shall commence with effect from {{f9_date_of_joining}} (“Commencement Date”).

2.2 Your continuity of service shall be reckoned from the Commencement Date for all purposes, unless otherwise required under Applicable Law.

3. DESIGNATION AND DUTIES

3.1 You are appointed in the capacity of {{f4_designation}}.

3.2 You shall report to {{f10_reporting_manager_designation}} or such other authority as may be designated by the Company from time to time.

3.3 You shall faithfully, diligently, and efficiently perform all duties and responsibilities assigned to you and act in the best interests of the Company.

4. PLACE OF WORK AND TRANSFER

4.1 Your initial place of posting shall be {{f11_place_of_work}}.

4.2 The Company reserves the right to transfer you to any other office, unit, branch, subsidiary, affiliate, or location of the Company, whether within or outside India, as per business exigencies.

5. EMPLOYMENT STATUS AND PROBATION

5.1 Your employment shall be {{f12_employment_type_permanent_fixed_term}}.

5.2 If applicable, you shall be on probation for a period of {{f13_probation_period}} from the Commencement Date.

5.3 During the probation period, your services may be terminated in accordance with Company policy and Applicable Law.

6. COMPENSATION AND BENEFITS

6.1 You shall be entitled to a total cost to company (CTC) of {{f14_ctc_amount}} per {{f15_pay_frequency_month_year}}, subject to applicable taxes and statutory deductions.

6.2 The detailed salary structure, benefits, and allowances shall be governed by the Company’s compensation policies as amended from time to time.

6.3 All statutory contributions, including provident fund and other benefits, shall be made in accordance with Applicable Law.

7. WORKING HOURS AND LEAVE

7.1 Your working hours shall be as prescribed by the Company and in compliance with Applicable Law.

7.2 You shall be entitled to leave, holidays, and other benefits strictly in accordance with the Company’s leave and HR policies.

8. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

8.1 You shall maintain strict confidentiality of all confidential, proprietary, technical, commercial, and business information of the Company.

8.2 Any inventions, works, developments, or intellectual property created by you during the course of employment shall be the exclusive property of the Company.

9. CODE OF CONDUCT AND COMPANY POLICIES

9.1 You shall at all times comply with the Company’s policies, rules, codes of conduct, POSH policy, IT and information security policies, and all lawful directions issued by the Company.

9.2 Violation of Company policies may result in disciplinary action, including termination of employment.

10. TERMINATION

10.1 Either party may terminate this employment by giving {{f16_notice_period}} prior written notice or salary in lieu thereof, subject to Applicable Law and Company policy.

10.2 The Company reserves the right to terminate your employment without notice or compensation in lieu thereof in cases of gross misconduct, fraud, or material breach of obligations.

11. INDEMNITY

You agree to indemnify and hold harmless the Company from any loss, damage, or liability arising out of any wilful misconduct, negligence, or breach of your obligations under this Letter or Applicable Law.

12. GOVERNING LAW AND JURISDICTION

12.1 This Letter shall be governed by and construed in accordance with the laws of India.

12.2 Subject to Clause 13, the courts at {{f17_city}}, India, shall have exclusive jurisdiction.

13. ARBITRATION

13.1 Any dispute arising out of or in connection with this Letter or your employment shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

13.2 The seat and venue of arbitration shall be {{f18_city}}, India.
13.3 The arbitration proceedings shall be conducted in the English language by a sole arbitrator appointed in accordance with the said Act.

14. SEVERABILITY

If any provision of this Letter is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. ENTIRE AGREEMENT

This Letter, together with the Offer Letter and Company policies, constitutes the entire agreement between you and the Company with respect to your employment and supersedes all prior communications.

16. ACCEPTANCE

You are requested to sign and return a copy of this Letter as a token of your acceptance of the terms and conditions contained herein.
