1. OFFER OF EMPLOYMENT

We are pleased to offer you employment with {{f4_company_name}}, a company incorporated under the laws of India and having its registered office at {{f5_company_registered_address}} (“Company”), on the terms and conditions set out in this Offer Letter (“Letter”).

Your appointment shall be subject to your acceptance of this Letter and the execution of the Company’s employment documentation, policies, and code of conduct.

2. DESIGNATION AND ROLE

2.2 You shall report to {{f7_reporting_manager_designation}} or such other person as may be designated by the Company from time to time.

2.3 You shall perform such duties and responsibilities as are customarily associated with your position and as may be assigned by the Company from time to time.

3.2 This offer is subject to your joining on or before the Commencement Date, failing which the Company reserves the right to withdraw this offer without any obligation.

4. PLACE OF WORK

4.2 The Company reserves the right to transfer you to any other location, branch, affiliate, or project of the Company, whether within or outside India, as per business requirements.

5. EMPLOYMENT STATUS

5.2 If applicable, you shall be on probation for a period of {{f11_probation_period}}, during which your performance and conduct shall be reviewed.

6. COMPENSATION AND BENEFITS

6.2 The detailed breakup of your compensation and benefits shall be communicated separately and governed by the Company’s policies.

6.3 All payments shall be subject to deduction of tax at source and statutory contributions as per Applicable Law.

7. WORKING HOURS AND LEAVE

7.1 Your normal working hours shall be as per the Company’s policy and Applicable Law.

7.2 You shall be entitled to leave and holidays in accordance with the Company’s leave policy, as amended from time to time.

8. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

8.1 You shall maintain strict confidentiality of all confidential, proprietary, and sensitive information of the Company.

8.2 Any intellectual property created or developed by you during the course of employment shall vest exclusively with the Company.

9. CODE OF CONDUCT AND POLICIES

9.1 You shall comply with all policies, rules, codes, and procedures of the Company, including but not limited to HR policies, IT policies, POSH policy, and code of conduct, as amended from time to time.

9.2 Any breach of Company policies may result in disciplinary action, including termination.

10. TERMINATION

10.1 Either party may terminate the employment by giving {{f14_notice_period}} written notice or salary in lieu thereof, subject to Applicable Law and Company policy.

10.2 The Company reserves the right to terminate your employment without notice in cases of misconduct, fraud, or material breach of obligations.

11. GOVERNING LAW AND JURISDICTION

11.1 This Letter shall be governed by and construed in accordance with the laws of India.

11.2 Subject to Clause 12, the courts at {{f15_city}}, India, shall have exclusive jurisdiction.

12. ARBITRATION

12.1 Any dispute arising out of or in connection with this Letter or your employment shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.

12.2 The seat and venue of arbitration shall be {{f16_city}}, India.
12.3 The arbitration proceedings shall be conducted in the English language by a sole arbitrator appointed in accordance with the said Act.

13. SEVERABILITY

13.1 If any provision of this Letter is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. ACCEPTANCE OF OFFER

You are requested to sign and return a copy of this Letter as a token of your acceptance of the terms and conditions stated herein.
