9. LIMITATION OF LIABILITY

10. INDEMNITY

10.1 The User agrees to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from any claims, losses, damages, liabilities, costs, or expenses arising out of:

(a) breach of these Terms; (b) misuse of the Services; (c) violation of Applicable Law or third-party rights.

11. TERMINATION

11.1 The Company may suspend or terminate the User’s access to the Services at any time, with or without notice, for breach of these Terms or for any lawful reason.

11.2 Upon termination, all rights granted to the User shall immediately cease.

12. FORCE MAJEURE

12.1 The Company shall not be liable for failure or delay in performance due to events beyond its reasonable control, including acts of God, war, strikes, governmental actions, or technical failures.

14. GOVERNING LAW AND JURISDICTION
