PRIVACY AGREEMENT / DATA PROTECTION AGREEMENT

This Privacy Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_disclosing_controlling_party}}, a company incorporated under the Companies Act, 2013, having its registered office at {{f3_registered_office_address}} (“Data Owner”);

The Data Owner and the Data Recipient are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. PURPOSE

1.1. The Data Owner shall disclose or make available certain personal, sensitive, or confidential data to the Data Recipient strictly for the purpose of {{f6_specific_purpose_of_data_sharing}} (“Permitted Purpose”).

1.2. Any processing or use of data beyond the Permitted Purpose is strictly prohibited.

2. DEFINITIONS

2.1. “Personal Data” means any information relating to an identified or identifiable natural person.

2.2. “Sensitive Personal Data” shall have the meaning assigned under the Information Technology Act, 2000 and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

2.3. “Processing” includes collection, storage, use, disclosure, transfer, transmission, or deletion of data.

3. DATA DISCLOSURE

3.1. The categories of data disclosed under this Agreement include:

3.2. The Data Recipient shall process data only on documented instructions of the Data Owner.

4. OBLIGATIONS OF DATA RECIPIENT

4.1. The Data Recipient shall:
(a) process data lawfully, fairly, and solely for the Permitted Purpose;
(b) implement reasonable security practices and procedures;
(c) restrict access to data on a strict need-to-know basis;
(d) not disclose data to any third party without prior written consent;
(e) ensure its employees and agents are bound by confidentiality obligations.

4.2. The Data Recipient shall not combine the data with any other datasets or use it for profiling, marketing, or analytics unless expressly authorised in writing.

5. DATA SECURITY

5.1. The Data Recipient shall implement administrative, technical, and physical safeguards consistent with industry standards.

5.2. At a minimum, such safeguards shall comply with ISO 27001 or equivalent standards.

6. DATA BREACH

6.1. The Data Recipient shall notify the Data Owner within {{f8_number}} hours of becoming aware of any actual or suspected data breach.

6.2. The Data Recipient shall cooperate fully in investigation, mitigation, and regulatory reporting.

7. DATA RETENTION AND DELETION

7.1. The Data Recipient shall retain data only for the duration necessary to fulfil the Permitted Purpose.

7.2. Upon completion or termination:
(a) all data shall be returned; or
(b) permanently deleted and certified in writing within {{f9_number}} days.

8. CROSS-BORDER TRANSFER

8.1. No data shall be transferred outside India without prior written consent of the Data Owner and compliance with applicable law.

9. AUDIT AND INSPECTION

9.1. The Data Owner shall have the right to audit compliance with this Agreement upon {{f10_number}} days’ prior notice.

9.2. Non-cooperation shall constitute material breach.

10. REPRESENTATIONS AND WARRANTIES

The Data Recipient represents that:
(a) it complies with all applicable data protection laws;
(b) it has obtained all necessary consents;
(c) it has not been subject to any unresolved data breach proceedings.

11. INDEMNITY

11.1. The Data Recipient shall indemnify and hold harmless the Data Owner against all losses, penalties, claims, and damages arising from:
(a) breach of this Agreement;
(b) data breach or unauthorised processing;
(c) violation of applicable law.

12. LIMITATION OF LIABILITY

12.1. Any limitation of liability under the principal agreement shall not apply to:
(a) data breach;
(b) confidentiality violation;
(c) regulatory penalties.

13. TERM AND SURVIVAL

13.1. This Agreement shall remain in force for {{f11_term}}.

13.2. Obligations relating to confidentiality, data security, indemnity, and audit shall survive termination.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1. This Agreement shall be governed by the laws of India.

14.2. Any dispute shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

15. ENTIRE AGREEMENT

15.1. This Agreement constitutes the entire understanding between the Parties with respect to data privacy and supersedes all prior arrangements.

16. AMENDMENT

16.1. Any amendment shall be valid only if made in writing and signed by both Parties.

RENTAL AGREEMENT

This Rental Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_landlord}}, residing at {{f3_address_of_landlord}} (“Landlord”);

{{f4_name_of_tenant}}, residing at {{f5_address_of_tenant}} (“Tenant”).

The Landlord and the Tenant are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. RENTED PREMISES

1.1. The Landlord hereby gives on rent to the Tenant the immovable property described below (“Premises”):

1.2. The Premises shall be used solely for {{f7_residential_commercial_use}} purposes and for no other purpose whatsoever.

2. TERM

2.1. The tenancy shall commence on {{f8_rent_commencement_date}} and shall continue for a period of {{f9_term_eg_11_months}}, unless terminated earlier in accordance with this Agreement.

2.2. Renewal, if any, shall be subject to mutual written agreement and execution of a fresh agreement.

3. RENT

3.1. The Tenant shall pay a monthly rent of INR {{f10_rent_amount}} (“Rent”).

3.2. Rent shall be payable in advance on or before the {{f11_day_of_month}} of each calendar month.

3.3. Rent shall be paid by {{f12_mode_of_payment_bank_transfer_cheque_upi}}.

3.4. Delay beyond {{f13_number}} days shall attract interest at {{f14_rate}} per annum.

4. SECURITY DEPOSIT

4.1. The Tenant has paid a refundable security deposit of INR {{f15_security_deposit_amount}} (“Deposit”).

4.2. The Deposit shall be refunded within {{f16_number}} days from the date the Tenant vacates the Premises and hands over peaceful possession, after adjustment of:
(a) unpaid Rent;
(b) utility charges;
(c) damages beyond normal wear and tear.

4.3. No interest shall be payable on the Deposit.

5. MAINTENANCE AND UTILITIES

5.1. The Tenant shall bear and pay:
(a) electricity, water, gas, internet, and other consumption-based charges;
(b) society or association maintenance charges related to usage.

5.2. Property tax and municipal taxes shall be borne by the {{f17_landlord_tenant}}.

6. TENANT OBLIGATIONS

6.1. The Tenant shall:
(a) keep the Premises clean and in good condition, reasonable wear and tear excepted;
(b) not make structural alterations without prior written consent of the Landlord;
(c) not sublet, assign, license, or part with possession of the Premises;
(d) not use the Premises for any illegal, hazardous, or nuisance-causing activity.

6.2. The Tenant shall comply with all applicable laws, society bye-laws, and municipal regulations.

7. LANDLORD’S RIGHT OF ENTRY

7.1. The Landlord may enter the Premises upon {{f18_number}} hours’ prior notice for inspection, repairs, or showing the Premises to prospective tenants or purchasers.

7.2. In case of emergency, no prior notice shall be required.

8. REPAIRS

8.1. Structural repairs shall be the responsibility of the Landlord.

8.2. Minor, routine, and day-to-day repairs shall be the responsibility of the Tenant.

9. LOCK-IN (IF ANY)

9.1. The Parties agree to a lock-in period of {{f19_lock_in_period_nil}}, during which termination shall not be permitted except for material breach.

10. TERMINATION

10.1. Either Party may terminate this Agreement by giving {{f20_notice_period}} written notice.

10.2. The Landlord may terminate immediately upon:
(a) non-payment of Rent beyond {{f21_number}} days;
(b) unauthorised subletting or misuse;
(c) material breach of this Agreement.

11. VACATING AND HOLDING OVER

11.1. Upon termination or expiry, the Tenant shall vacate and hand over peaceful possession of the Premises.

11.2. Any unauthorised holding over shall attract damages of INR {{f22_amount}} per day, without creating any tenancy or other rights.

12. FORCE MAJEURE

12.1. Neither Party shall be liable for failure due to events beyond reasonable control, excluding payment obligations.

13. INDEMNITY

13.1. The Tenant shall indemnify the Landlord against losses arising from misuse of the Premises or breach of this Agreement.

14. REGISTRATION AND STAMP DUTY

14.1. Stamp duty and registration charges, if applicable, shall be borne by {{f23_party_sharing_basis}}.

14.2. This Agreement shall be registered if required under applicable law.

15. GOVERNING LAW AND JURISDICTION

15.1. This Agreement shall be governed by the laws of India.
