RECRUITMENT AGREEMENT

This Recruitment Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_employer_client}}, a company incorporated under the Companies Act, 2013, having its registered office at {{f3_registered_office_address}} (“Client”);

{{f4_name_of_recruitment_agency_consultant}}, a [company/LLP/partnership/individual; field type: TEXT], having its principal place of business at {{f5_address_of_recruitment_agency}} (“Recruiter”).

The Client and the Recruiter are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. APPOINTMENT AND SCOPE

1.1. The Client appoints the Recruiter on a non-exclusive basis to identify, screen, and recommend candidates for employment strictly in accordance with this Agreement.

1.2. The Recruiter shall provide recruitment services only for the following role(s):

1.3. The Recruiter shall have no authority to make employment offers or commitments on behalf of the Client.

2. RECRUITMENT PROCESS

2.1. The Recruiter shall:
(a) source candidates through lawful means;
(b) conduct preliminary screening, including qualification and experience checks;
(c) submit candidate profiles strictly in the format prescribed by the Client;
(d) disclose complete and accurate candidate information.

2.2. A candidate shall be deemed “Introduced” only upon receipt of the candidate’s resume/profile by the Client.

3. FEES AND PAYMENT

3.1. Recruitment fee shall be {{f7_of_annual_ctc_fixed_fee}} of the candidate’s annual gross cost-to-company (“CTC”).

3.2. The fee shall become payable only upon:
(a) issuance of offer letter by the Client; and
(b) the candidate’s acceptance and joining.

3.3. Payment shall be made within {{f8_number}} days from the candidate’s date of joining, against a valid tax invoice.

3.4. No fee shall be payable for candidates not hired by the Client.

4. REPLACEMENT GUARANTEE

4.1. If a hired candidate resigns or is terminated (other than due to redundancy or restructuring) within {{f9_guarantee_period}} from the date of joining, the Recruiter shall provide one (1) free replacement for the same Position.

4.2. No refund shall be payable. Replacement is the sole remedy.

4.3. The guarantee shall not apply if separation is due to:
(a) change in role, compensation, or reporting;
(b) hostile work environment;
(c) delay in onboarding beyond {{f10_number}} days from offer acceptance.

5. NON-CIRCUMVENTION

5.1. The Client shall not directly or indirectly engage any candidate introduced by the Recruiter outside this Agreement for 12 months from introduction, without paying the applicable fee.

6. CONFIDENTIALITY

6.1. All business information, candidate data, compensation details, and communications constitute Confidential Information.

6.2. The Recruiter shall comply with applicable data protection laws and shall not share candidate information with third parties.

6.3. Confidentiality obligations shall survive termination for 5 (five) years.

7. DATA PROTECTION

7.1. The Recruiter represents that it has obtained lawful consent from candidates for sharing their data with the Client.

7.2. The Recruiter shall indemnify the Client for any breach of data protection obligations.

8. REPRESENTATIONS AND WARRANTIES

The Recruiter represents that:
(a) all candidate information is accurate to its knowledge;
(b) no inducements or misrepresentations have been made;
(c) it is duly authorised to provide recruitment services;
(d) it has not violated any labour or employment law.

9. INDEMNITY

9.1. The Recruiter shall indemnify and hold harmless the Client against all losses arising from:
(a) misrepresentation of candidate credentials;
(b) breach of confidentiality or data protection;
(c) violation of law.

10. LIMITATION OF LIABILITY

10.1. Recruiter’s aggregate liability shall not exceed the total fees actually received under this Agreement.

10.2. This limitation shall not apply to fraud or wilful misconduct.

11. TERM AND TERMINATION

11.1. This Agreement shall remain in force for {{f11_term}}.

11.2. Either Party may terminate without cause upon {{f12_notice_period}} written notice.

11.3. The Client may terminate immediately upon material breach or misconduct.

12. CONSEQUENCES OF TERMINATION

12.1. Termination shall not affect the Client’s obligation to pay fees for candidates already hired prior to termination.

12.2. Clauses relating to confidentiality, non-circumvention, indemnity, and dispute resolution shall survive termination.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1. This Agreement shall be governed by the laws of India.

13.2. Any dispute shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

13.3. Courts at {{f14_city_india}} shall have exclusive jurisdiction for interim relief.

14. ENTIRE AGREEMENT

14.1. This Agreement constitutes the entire understanding between the Parties and supersedes all prior arrangements.

15. AMENDMENT

15.1. Any amendment shall be valid only if made in writing and signed by both Parties.
