EMPLOYMENT AGREEMENT

This Employment Agreement (“Agreement”) is executed on {{f1_date}} (“Effective Date”).

PARTIES

{{f2_name_of_employer_company}}, a company incorporated under the Companies Act, 2013, having its registered office at {{f3_registered_office_address}} (“Employer”);

{{f4_name_of_employee}}, residing at {{f5_address_of_employee}} (“Employee”).

The Employer and the Employee are hereinafter individually referred to as a “Party” and collectively as the “Parties”.

1. APPOINTMENT

1.1. The Employer hereby appoints the Employee as {{f6_designation}}, and the Employee accepts such appointment, subject to the terms of this Agreement.

1.2. This Agreement constitutes a contract of service and not a contract for service.

2. DATE OF COMMENCEMENT AND TERM

2.1. The employment shall commence on {{f7_date_of_joining}}.

2.2. The employment shall be [PERMANENT / FIXED-TERM; field type: TEXT].
If fixed-term, the term shall end on {{f8_end_date}}, unless terminated earlier in accordance with this Agreement.

3. PLACE OF WORK

3.1. The Employee’s normal place of work shall be {{f9_location}}.

3.2. The Employer may require the Employee to work at any other location, including remotely, as per business requirements.

4. DUTIES AND RESPONSIBILITIES

4.1. The Employee shall:
(a) perform duties commensurate with the designation and instructions of the Employer;
(b) devote full working time and attention exclusively to the Employer’s business;
(c) comply with all policies, codes of conduct, and lawful directions.

4.2. The Employee shall not engage in any other employment or business during employment without prior written consent.

5. WORKING HOURS

5.1. Normal working hours shall be {{f10_working_hours}}, subject to business exigencies.

5.2. The Employee may be required to work additional hours without separate overtime entitlement, unless mandated by law.

6. REMUNERATION AND BENEFITS

6.1. The Employee shall be paid a gross remuneration of INR {{f11_amount}} per [MONTH / ANNUM; field type: TEXT], as per the structure set out in Schedule A.

6.2. Statutory deductions including provident fund, professional tax, and income tax shall apply.

6.3. Benefits, if any, shall be governed strictly by Employer policies.

7. LEAVE AND HOLIDAYS

7.1. The Employee shall be entitled to leave and holidays strictly in accordance with applicable law and Employer policy in force from time to time.

7.2. No leave shall be carried forward or encashed except as required by law or policy.

8. CONFIDENTIALITY

8.1. All business, technical, financial, customer, and employee-related information constitutes Confidential Information.

8.2. The Employee shall not disclose or misuse Confidential Information during or after employment.

8.3. Confidentiality obligations shall survive termination permanently, to the extent permitted by law.

9. INTELLECTUAL PROPERTY

9.1. All intellectual property created, developed, or contributed by the Employee during the course of employment shall vest exclusively in the Employer.

9.2. The Employee hereby irrevocably assigns all such intellectual property rights to the Employer without additional consideration.

10. DATA PROTECTION

10.1. The Employee shall comply with all data protection and information security policies of the Employer.

10.2. Any unauthorised access, use, or disclosure of data shall constitute gross misconduct.

11. NON-SOLICIT AND NON-COMPETE

11.1. During employment and for 12 months thereafter, the Employee shall not solicit the Employer’s employees, customers, or vendors.

11.2. Post-termination non-compete obligations shall apply only to the extent enforceable under Indian law.

12. PERFORMANCE AND DISCIPLINE

12.1. Employment is subject to satisfactory performance and conduct.

12.2. The Employer may take disciplinary action, including suspension or termination, in accordance with law and internal policy.

13. TERMINATION

13.1. Either Party may terminate this Agreement without cause by giving {{f12_notice_period}} written notice or salary in lieu thereof.

13.2. The Employer may terminate employment without notice in case of:
(a) misconduct;
(b) breach of confidentiality or IP obligations;
(c) fraud or dishonesty;
(d) wilful insubordination.

14. CONSEQUENCES OF TERMINATION

14.1. Upon termination, the Employee shall:
(a) immediately cease representing the Employer;
(b) return all Employer property;
(c) hand over all work, data, and documents.

14.2. Final settlement shall be made in accordance with applicable law.

15. REPRESENTATIONS

15.1. The Employee represents that:
(a) no conflicting employment or obligation exists;
(b) information provided is true and accurate;
(c) joining does not violate any prior agreement.

16. INDEMNITY

16.1. The Employee shall indemnify the Employer against losses arising from wilful misconduct, fraud, or breach of this Agreement.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1. This Agreement shall be governed by the laws of India.

17.2. Any dispute shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.

17.3. Courts at {{f14_city_india}} shall have exclusive jurisdiction for interim relief.

18. ENTIRE AGREEMENT

18.1. This Agreement constitutes the entire understanding and supersedes all prior arrangements.

19. AMENDMENT

19.1. Any amendment shall be valid only if made in writing and signed by both Parties.
