DRAFTING & VETTING SERVICES

The following sets out the scope, standards, and terms governing the provision of legal drafting and vetting services (“Services”) by {{f1_name_of_law_firm_legal_consultant_entity}}, having its office at {{f2_address}} (“Service Provider”), to its clients (“Client”).

1. SCOPE OF SERVICES

1.1. The Service Provider shall provide professional legal drafting and vetting services in accordance with applicable Indian laws, judicial precedents, and standard commercial practice.

1.2. The Services may include, without limitation:
(a) drafting of contracts, agreements, deeds, policies, notices, pleadings, and other legal instruments;
(b) vetting, review, and revision of drafts prepared by the Client or third parties;
(c) risk identification, issue-spotting, and suggestion of legally tenable alternatives;
(d) alignment of documents with applicable statutes, rules, and regulatory requirements; and
(e) incorporation of commercial instructions provided by the Client, subject to legal permissibility.

2. NATURE OF ENGAGEMENT

2.1. The Services are advisory and documentation-oriented in nature and shall be rendered based on information, instructions, and documents provided by the Client.

2.2. The Service Provider shall not be responsible for verification of factual accuracy, commercial viability, or technical feasibility of the underlying transaction, unless expressly agreed in writing.

3. STANDARD OF CARE

3.1. The Services shall be rendered with reasonable skill, care, and diligence consistent with generally accepted professional standards under Indian law.

3.2. The Service Provider does not guarantee any particular legal, regulatory, or commercial outcome.

4. CLIENT OBLIGATIONS

4.1. The Client shall:
(a) provide complete, accurate, and timely information and instructions;
(b) promptly review drafts and provide consolidated feedback; and
(c) ensure that final documents align with the Client’s commercial intent.

4.2. Any delay or deficiency in instructions may affect timelines and outcomes, for which the Service Provider shall not be liable.

5. CONFIDENTIALITY

5.1. All non-public information, documents, and materials exchanged in connection with the Services shall be treated as confidential.

5.2. Confidential information shall not be disclosed except:
(a) with prior written consent of the Client; or
(b) where required by law, court order, or regulatory authority.

6. FEES AND COMMERCIAL TERMS

6.1. Fees for the Services shall be as agreed separately in writing, whether on a fixed-fee, hourly, or document-based basis.

6.2. Unless otherwise agreed, taxes, duties, and statutory levies shall be borne by the Client as applicable.

7. LIMITATION OF ROLE

7.1. The Services do not constitute litigation, arbitration representation, or legal opinion unless expressly stated in writing.

7.2. Execution, stamping, registration, and implementation of documents shall be the sole responsibility of the Client unless separately agreed.

8. INDEMNITY

8.1. The Client shall indemnify and hold harmless the Service Provider against losses arising from:
(a) inaccurate or incomplete information provided by the Client; or
(b) use of drafts contrary to legal advice or without incorporating recommended changes.

9. INTELLECTUAL PROPERTY

9.1. Upon full payment of agreed fees, the Client shall have the right to use the final documents prepared specifically for the Client.

9.2. The Service Provider retains all rights in its templates, precedents, methodologies, and know-how.

10. TERMINATION

10.1. Either party may terminate the engagement by written notice.

10.2. Fees for Services rendered up to the date of termination shall remain payable.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1. This engagement shall be governed by the laws of India.

11.2. Any dispute shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be {{f3_city_india}}, and the language shall be English.

11.3. Subject to arbitration, courts at {{f4_city_india}} shall have exclusive jurisdiction.

12. SEVERABILITY

12.1. If any provision is held unenforceable, the remaining provisions shall continue in full force.

13. ENTIRE UNDERSTANDING

13.1. This document, read with any written fee proposal or engagement letter, constitutes the entire understanding between the parties in relation to the Services.
